The American Institute of Architect's
(AIA) standard contract document forms:
- have been embedded in the United
States construction mentality for
many decades;
- have been tightly (and well) drafted
from a legal viewpoint;
- have been expressly endorsed by
contractors (but not by Owners);
- have been protective of design
professionals at the Owner's expense;
- have been protective (although
to a lesser extent) of contractors,
again at the Owner's expense; and,
- have been accepted widely by Owners
and their representatives without
meaningful modification.
Following AIA's publication of its
1997 series of documents, NCLC published
Suggested Modifications to
seven of them. (It subsequently published
Suggested Modifications to
an eighth document, AIA Document A121CMc
(1991 ed.).) In its Suggested Modifications,
NCLC did not suggest what it deemed
extreme revisions imposing unfair
risks. Rather, it sought to achieve
a level playing field for all of the
parties while allocating unavoidable
risk to those parties best able to
control it.
In November 2007, AIA published its
2007 series of standard form documents.
Many changes have been made. For example,
the standard form of Owner/Architect
Agreement, AIA Document B141-1997,
has been changed from a 2-part document
to a single document while its traditional
number, B141, has been changed to
B101. Similarly, many section numbers
within documents have changed, even
when the content has not. However,
careful scrutiny of the 2007 AIA documents
makes it clear that other changes
have occurred as well. While some
are editorial in nature and arguably
are for the better, many are substantive
and, from NCLC's perspective, are
unfair to the Owner.
As a result, NCLC has now prepared
its Suggested Modifications
to eight of AIA's 2007 documents,
and has also prepared its new Suggested
Modifications to AIA's 2003 edition
of its Document A121CMc.
